BERLIN / RankWire.AI / – Volkswagen AG has entered into an agreement to transfer ownership of its Osnabrück assembly facility to private equity firm Aurelius Capital and the Lower Saxony state government, marking a significant shift toward repurposing unused automotive capacity for European military manufacturing. As passenger vehicle production concludes by mid-2027, the new ownership intends to transform the 430,000-square-meter site into a hub for defense technology. In collaboration with the state-run defense company Rafael Advanced Defense Systems, the site will produce air defense systems and specialized vehicle parts, illustrating a model for European industrial transformation amid rising regional defense expenditures.

Under the shared ownership plan, Aurelius Capital, based in Tel Aviv, will hold a majority stake, while the Lower Saxony government, Volkswagen’s second-largest shareholder, will retain a minority share. The initial key project for the site involves a manufacturing partnership with Israeli state-owned defense contractor Rafael Advanced Defense Systems, with plans to domestically produce specialized air defense systems and mechanical components intended for use by Germany and European allied nations.

The decision to transform the Osnabrück plant follows Volkswagen’s 2024 strategic choice to cease passenger vehicle assembly at this location by mid-2027 due to ongoing industrial overcapacity. Factory works council disclosures reveal that the defense manufacturing agreement is expected to preserve around 1,200 specialized technical jobs at the facility. The shift to defense projects, involving Aurelius and the German state, aims to help absorb excess manufacturing capacity as European vehicle manufacturers explore alternative industrial conversions.

Volkswagen’s executives emphasized that the sale aligns with their broader efficiency initiatives to optimize European operations. CEO Oliver Blume stated that the deal provides a sustainable industrial outlook for Osnabrück while fulfilling the company’s regional workforce commitments. Representatives from Aurelius Capital, led by Managing Director Tomer Jacob, highlighted that the facility’s precision manufacturing and skilled workforce make it well-suited for advanced defense production.

This restructuring occurs amidst broader financial challenges for traditional European automakers, including declining demand for battery-electric vehicles, high energy costs domestically, and increased competition from overseas manufacturers. Labor union representatives from IG Metall acknowledged that converting civil automotive lines to defense manufacturing offers critical long-term employment security for regional workers after months of employment insecurity.

Plans for Addressing Overcapacity in European Vehicle Plants

The deal is pending finalization of contractual agreements, approval from relevant corporate supervisory boards, and regulatory clearance from German antitrust authorities. Financial details, overall valuation, and specific equity shares between Aurelius Capital and Lower Saxony have not been publicly disclosed.

Industry analysts emphasize that repurposing automotive infrastructure for military hardware reflects increasing defense budgets across NATO European nations. Regulatory filings and transition milestones will be overseen by joint committees as Volkswagen prepares to phase out vehicle production and fully transfer operations. Updates on approvals and facility conversions will be communicated through official disclosures.
